25.01.2022 Off the Plan Week Part #2 What is a Sunset Date? A Sunset Date under an Off the Plan Contract is a date by which the Developer must create the Lot by registering the Subdivisional plan of Development with Land Titles. Sunset Dates in contracts can have various meanings for what is considered to be the 'Sunset Date', but this is the most usual we see. ... Basically, the date the Developer must have created your new Lot. In the usual case, in the event that the Developer has not created the Lot by this date (i.e 12 months from Contract Date'), either party can terminate the contract and the Deposit is to be refunded to the Buyer. In many contracts, Developers will reserve the right to extend the Sunset Date by a certain amount of time, provided of course such extension complies with the relevant legislation. 25.01.2022 The Retail Shop Leases and Other Commercial Leases (COVID-19 Emergency Response) Amendment Regulation 2020 was recently enacted. Tenants will be entitled to an extension of the response period should the satisfy the definition of an 'affected lease' under Section 3 of the Amendment Regulation, which requires affected Leases to be eligible for the jobkeeper scheme for the period starting 28 September 2020 and ending on 4 January 2021. 25.01.2022 Hope you enjoyed Off the Plan week here at Bradley + Bray! Last point for discussion.. Can the Developer terminate the Contract along the way? Normally.. YES! ... The contract will generally be subject to the Developer doing many things, such as obtaining all the necessary approvals, being satisfied with those approvals, obtaining finance, obtaining certain amount of pre-sale contracts, and even being satisfied with the viability of the Development! In all cases the Contract should be (and normally is) drafted to ensure the Deposit is refunded to you. Each Contract is different, and it is important to speak with us before you sign to understand what you are signing up to. Happy Friday!
24.01.2022 What if I sell a Business with debtors that still owe me money? Look to Standard Term 16 of the REIQ Business Contract Standard Terms! Clause 16.3 - 'On Completion, the Seller may give a notice to the Buyer concerning the debts owed to the Seller in respect of the Business at Completion ('debt notice')'.... The Seller appoints the Buyer for a period of 30 business days after Completion as agent to collect the notified debt. Depending on the type of business, and terms of trade, we may look to amend this position with a Special Condition. Best always to have us review the Contract before you sign!
24.01.2022 If you are selling a Business, you want to make sure you have no further ongoing obligations under the Lease. Under a Commercial Lease, you might be surprised to know that in many cases, upon assignment of that Lease your liability under the Lease will continue on until the end of the term, meaning you could be called upon under the Lease if the Buyer defaults! If your Business is a 'Retail Business' and your lease is regulated under the Retail Shop Leases Act, section 50A pr...ovides a release of the Tenant and any Guarantor under the Lease, providing that you have complied with your obligations under the Retail Shop Lease Act. 24.01.2022 Is your lease a Commercial Lease, or a Retail Shop Lease? When in doubt.. look to the legislation! Section 5B of the Retail Shop Leases Act defines what a Retail Shop is. Section 5A(2) goes further and defines many things that a Retail Shop is not. The Retail Shop Leases Regulations 2016 defines what a Retail Business is.... The distinction is important, as the Retail Shop Leases Act governs many aspects of your lease, including disclosures, timing matters and what outgoings and costs can be charged to a Tenant. It can be extremely costly to get it wrong! Don't assume anything! If you are thinking about entering into a Lease (whether Tenant or Landlord), talk to us before you take another step!

Are there Covenants/Easements intended to be registered that impact your use of the Land? Are there any parts of the Development Approval that impact your build costs (i.e issues with Noise Ratings, Bushfire Management Plans, Geotechnical Stability Plans etc. that require certain building guidelines)? What about the Building Covenants? Have you been through these with your Builder to ensure that they meet you expectations, and you can meet the Developers? There's plenty more questions to ask. 17.01.2022 So there's a lot of activity in the property scene right now! We thought it might be useful for our followers to get some insights into Off the Plan Contracts. So... here is 'Off the Plan' week, presented by your favorite Lawyers! ... Starting with... what is an Off the Plan Contract ('OTP Contracts')? In a nutshell, this is you signing a Contract of Sale prior to the Land being registered and/or built upon. The Contract that you sign will normally be subject to and conditional upon the registration of the Land. This may take some amount of time, as the Seller normally needs to obtain a certain number of OTP Contracts as part of their own finance. Then the Seller will need to progress the development, undertake operational works, obtain approvals and sign off's from various government bodies, and create your new Lot - all prior to the Sunset Date! What's a Sunset Date? We'll discuss tomorrow!

17.01.2022 Did you give a Personal Guarantee under your Lease? Under the Retail Shop leases Act, a Guarantor (and assignor) will receive a release of liability for the Lease resulting from a default from the assignee (person who received the assignment of your lease), provided the Assignor complies with their assignment obligations under the Act. FYI - The most common form of assignment is when you sell your Business.... So if you have a Retail Shop Lease, see your Lawyer (i.e us) before you do anything with the sale of your Business. Okay, so if you are NOT a retail lease, the position is usually a bit different. Unless the Lease makes specific provision, the position will normally remain that the Assignor and Guarantor remain liable under the Lease until the expiry of the term. In simple terms, if you sell your Business under a Commercial Lease, most of the time that means you will still be liable under the Lease until the expiry of the Term, even though you've sold your Business! This means you either need to try and negotiate a release when entering into the Lease, or when assigning the Lease. If the Landlord will not agree, you should try to mitigate the risks. 16.01.2022 Leasing in a Body Corporate? There's a few extra considerations to have. Common Property belongs to the Body Corporate. This means you need to consider very closely any rights you have been granted under the Lease to Carparks, Storage areas, Licences etc. A check of the CMS is always advised to ensure the Seller has the right to grant you rights to areas outside of the Leased Area. ... Further, you need to carefully review the By Laws and ensure you are happy with them, especially given that you will be bound by them! You may also want to review the Outgoings to check what contributions you are required to make towards the Body Corporate Levies. Statutory provisions prevent the payment of Sinking Funds by Tenants under a Retail Lease, but not a Commercial Lease! Got a Lease? Come see our Commercial Team today!

It is an interesting little clause that prevents the Rent decreasing in a Commercial Lease upon a Rent Review, which can happen via a Market Review, or in periods where the CPI decreases (such as now). 15.01.2022 Options in a Lease. Your Lease will normally contain Options to renew at the end of your Term. A common thing we see if both Landlords and Tenants assuming this means that the Lease continues at the end of the Term for the period of the Option. ... This is WRONG. If you do not exercise your Option, the Lease will normally continue as a month-month lease, meaning it can be terminated by either party with a months notice! The Lease will normally stipulate exactly how to exercise your Option (i.e If the Tenant is not in breach of the Lease, the Tenant may exercise the Option by the giving of not more than 6 months and not less than 3 months written notice to the Landlord). The Landlords Solicitors will normally prepare an Amendment of Lease, to be executed by the parties formalizing the Option. It's important to get this stuff right. That is why you see us.

14.01.2022 Transfer Duty. Some quick facts: Moving into the Property as your Principal Place of Residence? You may be entitled to a Home Concession.... Never owned Property before? You may be entitled to a First Homes Concession for Properties under $550,000. Vacant Land Concessions also apply in certain circumstances. Investment Property? Full rate of Transfer Duty will apply. Planning to eventually move in but Property currently has Tenants? Home Concession can still be available to you, Tenants will need to move out at the earlier of when their Lease expires, or 6 months after Settlement. A word of caution: The Office of State Revenue has very specific time-frames and rules regarding Transfer Duty Concessions. Best to speak to us to clarify your specific circumstances, and what your eligibility may be. There are many great resources on the QLD Government website regarding Transfer Duty, so be sure to do your homework! And speak to us! We have experience in helping clients with these matters.

Starting with Permitted Use! ... The Permitted Use of the Lease will define what type of Business you may operate from the Premises. It is important to cover the areas that your Business operates in here. Any Local Government approvals, consents or certifications for the Tenant to undertake the Permitted use from the Premises will normally fall to the Tenant to arrange as their responsibility under the Lease, with the Landlord making no warranties. It's normally a good idea to understand the Building Classification of the Premises under the Building Act, prior to entering the Lease, if unsure. A well defined Permitted use can also avoid any arguments later on about exclusivity of use between yourself and other Tenants in the same Building, whether the exclusivity is granted to you, or the other Tenant. 05.01.2022 Put & Call Agreements. Do you know what you're getting yourself into? These can be handy little agreements to secure a block of land at a great price, find a buyer and obtain a job if you are a Builder. ... They are also considerably risky! You have a period of time to 'Call' the option, however the Seller can of course 'Put' the option on you should you fail to 'Call' it, meaning you could be stuck with buying the Lot! Care should be taken when entering into these arrangements. Lucky for you, we do them all the time!

Your Solicitor will have obtained the 'ASIC Consent to Transfer Key' from the Sellers solicitors at Settlement. You need this document. You will need an ASIC account. Once into your ASIC Portal, you will follow the prompts through to enter the Consent to Transfer Key and Transfer.... ASIC have some great step-by-step information available on their website.

02.01.2022 Off the Plan Week Part #3 Finance and Off the Plan Contracts. Always difficult. Always worth discussing. ... There's a lot of questions to be asked here. If your OTP Contract is subject to Finance for say, 28 days, but the Developer has 12 months under the Contract to register the Lot (see yesterdays Sunset Date post), there is a significant gap between those dates. Finance Approvals generally won't last too long, and the bank may require you to re-qualify, always with the risk of market conditions changing, your personal circumstances changing, or other events that may effect your ability to stay eligible for the Loan. The other issue is whether or not the Bank can even provide a Finance Approval within the Finance period? If the land cannot be valued yet, there remains the risk that after you have waived the benefit of Finance, and the bank can actually undertake a valuation closer to settlement, whether that valuation will stack up against what you are paying. It's important to discuss your options with your Broker/Financier at the outset so you can develop ways of circumventing these risks. 02.01.2022 Are you a Tenant wanting to exercise your Option for your Lease? Well first you need to ensure that your Option period has not lapsed under the Lease. Leases may have different time frames required for the tenant to notify the Landlord of the exercise of Option, such as 'Not more than 6 months and not less than 3 months prior to the Expiry Date'.... Once you are within the required Option window, you will need to formally notify your Landlord of your intention to take up the further Option.
