25.01.2022 Please refer to the following link for new rules affecting sale contracts entered into on or after 1 July 2016 for the sale of: Real property transactions in Australia with a market value over $2 million land, buildings, residential and commercial property; Lease premiums paid for the grant of a lease over real property in Australia; Mining, quarrying or prospecting rights;... Interests in Australian entities whose majority assets consist of the above such property or interests this is called an indirect interest; Options or rights to acquire the above property or interest. Under the new rules Australian resident vendors of real property with a market value of $2 million or above will need to apply for a clearance certificate and provide this to the purchaser before settlement to ensure no funds are withheld from the sale proceeds. If the vendor fails to provide the certificate by settlement, the purchaser would be required to withhold 10% of the purchase price and pay this to the ATO. Your vendors should apply for a clearance certificate when considering listing the property for sale. The clearance certificate will be valid for 12 months and it must be valid at the time the transaction is entered into to avoid this withholding obligation. All properties with a swimming pool or spa pool being sold or leased on or after 29 April 2016 will need a valid certificate of compliance or a relevant occupation certificate.... Where a certificate of compliance cannot be obtained, the seller will be able to transfer the responsibility to obtain a certificate of compliance to the buyer. The transfer will be realised through the attachment of a certificate of non-compliance to the contract of sale.
