Th...is is for the purpose of general information only and not intended as any form of legal advice) Equestrian Australia Limited has been placed into administration and this is what you need to know (from a team who aren't affiliated with any side of the debate) What is administration? This is Voluntary administration in 4 easy to understand points Voluntary Administration is a process where the board of directors, having formed the view that the company is either insolvent or is at risk of becoming insolvent, resolve to appoint administrators. During the administration, the board of directors are unable to make decisions on behalf of the company. All powers are delegated to the administrator during this period. The administrators are independent third parties who will run the business for a short period. Administration is a regularly used business tool to help organisations that are struggling both financially, but also, and importantly here with their current structure to reorganise their business and debts and hopefully set the course for its future endeavours. What happens next.... Over the next few weeks, the administrators will investigate the company, examine and determine the reasons why it was at risk of becoming insolvent, and at the end of that process recommend a way forward for you the creditors. From what we understand, EA was at risk of being insolvent because funding was withdrawn from Sports Australia because of the governance programs in place. The administration of EA will therefore likely insolve a restructure of the company, the committees and the governance. There will be two meetings: 1. The first creditors meeting on 19 June 2020 is purely administrative. No substantive decisions about the company will be made at this time. Presently, there is a movement to appoint creditors to a committee of inspection. The committee's role is only to approve certain actions of the administrators, such as their administrators' remuneration and the entry into of new contracts of more than 3 months. 2. The second creditors meeting is required to be held 28 days after the first meeting. This second meeting is important, at this meeting the creditors will resolve the new direction and structure for EA. It is at this meeting that creditors will have the biggest say on EA's future. What can you do? 1. If you would like to have a say on how EA is restructured, register to vote as a creditor! All current EA members will be admitted by the administrators for voting purposes. This is the only way YOU will have your voice heard. Register to vote by submitting your proof of debt (POD). Whilst not strictly required at this stage, we recommend you submit a POD. 2. Read the report to creditors issued before the second creditor meeting. The administrators are required to provide a statutory report to creditors describing the affairs of the company, the reason it was placed into administration, and the proposed way forward. This is the best way for you to understand what has been happening behind closed doors at EA and decide for yourself the best way forward. 3. Attend and vote at the second meeting of creditors. At this stage, unless the date is extended through a court application, the meeting will be held 25 days after the appointment of administrators (so likely in the middle of July).

06.01.2022 BREAKING NEWS- watch this message from Ricky MacMillan. Ricky & her team want to give us a voice in the future of EA by participating in the administration proc...ess on our behalf. To be a part of this you must register as a creditor by Wednesday, June 17! All current financial members of the state branches are now considered creditors of EA. To have a say in the second creditors meeting in a month’s time which will have before it the Administrator’s report and an opportunity to vote on the future of EA, you will first need to be registered for the meeting by Wednesday, June 17. Purpose of the meeting Friday 19 June is to decide whether to elect an inspectors committee and whether to toss out these Administrators and get a new lot. These are the only two resolutions before the meeting. There is a big red flag because KordaMentha do not want a Committee of Inspection. They don’t want members providing advice and oversight during the process. It is very important that Ricky and her team are there for you. Unless of course you think John Glenn, Cathi Collier, Peter Toft and Helen Hamilton-James should be relied upon. The decision is up to you. To register as a creditor 1. Provide proof of debt. Members of EQ and EWA pay your membership for the calendar year. Your membership number is proof to substantiate your claim. 2. Fill in a proxy form. For the first meeting, it is recommended that you fill in a proxy form. Do not appoint the Chairman as your proxy. This is giving your vote to the Administrator. Ricky MacMillan, Gillian Canapini, James Mathers & Naomi Mashford are prepared to act as your proxy at the meeting. *DO NOT nominate your state chair as your proxy. This will waste your vote. There are two types of proxy. General proxy you name a person to cast your vote while in attendance at the meeting. Special proxy you name a person to attend the meeting on your behalf and they will cast your vote as specified by you on the special proxy form. 3. Complete a Notice of Electronic Facilities for Meeting form to attend the meeting. It is important to have all forms lodged by Close of Business Wednesday 17 June. At the latest the Proxy form and the Proof of Debt form must be received no later than 10:30am (Sydney time) on Thursday 18 June, failing which creditors or their proxies may be excluded from voting at the meeting.
