25.01.2022 We have a mandatory code of conduct for SME commercial leases during COVID-19! The purpose of the code is to set out principles for application to commercial leases (including retail, office and industrial) between landlords and tenants. There is an eligibility criteria that must be met. ... The principles will include landlords not being able to terminate leases or draw on their tenants security, tenants honouring their leases, and landlords reducing rent proportionate to the trading reduction of the tenants business. The arrangements will be overseen by a binding mediation process administered by the state and territories. This is a step in the right direction but were going to have to wait for more detail on how the code and its provisions will work before we can predict how effective it will be.



24.01.2022 *** IMPORTANT LEGAL UPDATE *** Last night NSW parliament passed a bill banning residential and retail lease evictions for 6 months. Banks have also announced freezes on mortgage and loan repayments so your landlord may very well be in a position to give you relief, if requested.

16.01.2022 Virgin Australia has gone into voluntary administration today. Great to see that directors of the company didnt have their heads in the sand about the companys dire financial situation. Rather than carry on and risk trading whilst the company was insolvent, directors appointed Deloitte as administrators prior to formally announcing the decision to go into administration. This decision allowed the company to get on the front foot and manage the process smoothly. Hopefully the administrators can negotiate an exit from administration, handing the company back to directors.

09.01.2022 Normally there are serious consequences for directors of companies that engage in insolvent trading i.e. incurring debts on behalf of a company when the company cannot pay its debts when they fall due. In light of COVID-19, the government has put in place temporary measures that prevent directors from being personally liable for trading while insolvent, as long as those debts are not dishonest or fraudulent. These measures apply for 6 months and will give your business some breathing space to keep going.

09.01.2022 *** Temporary Legal Update *** A creditor may issue a statutory demand on a company in order to recover a debt. Not responding to a demand within the specified time creates a presumption that the company is insolvent and the company may enter liquidation. The Government is providing for financially distressed businesses by (amongst other things) temporarily: - increasing the current minimum threshold for creditors issuing statutory demands under the Corporations Act 2001 fro...m $2,000 to $20,000; and - extending the statutory time frame for a company to respond to a statutory demand from 21 days to 6 months.
