23.01.2022 Following on from last weeks legal tip, today were looking at one of the most important documents when buying a franchise - the franchise agreement. Whilst its essential to get professional advice on the franchise agreement, here are our top tips for what to look out for yourself: check what the term of the franchise is and whether you have any options to renew. You should also make sure that, if youll be running the business from a fixed site, the lease matches the te...rm of the franchise. What fees will you need to pay to the franchisor? These are typically set out in a schedule to the franchise agreement, and can include the initial franchise fee, training fee and ongoing royalties. Does the franchise agreement set out any minimum performance criteria? If so, you should feel comfortable that these are achievable and discuss any concerns you have with the franchisor. Most franchisees buy a franchise with a strategy in place to recoup their investment. Make sure you check the transfer provisions, which will set out how you can sell the business and the terms that will apply to the transfer. Obviously to be avoided, you should also check the breach and termination provisions of the franchise agreement. Under the Franchising Code of Conduct, a franchise agreement can only be terminated in certain circumstances. You should check that these provisions match the Code and dont allow for termination in any other circumstances. Happy reading! 23.01.2022 Should you register your business name as a trade mark? The short answer is YES! Your legal name (eg name of your company) and registered business name do not give you legal protection from other people using the same name.... On the other hand, trade mark registration will give you exclusive rights to use your trade mark in the class you choose. When registering your trade mark with IP Australia, youre required to select a class (or more than one class) to register your trade mark under. Put simply, a class is a category of goods and services. To select the best class, think about: What products or services do you provide? How do you derive an income? What products or services might you provide in future? Its important to select the right class to make sure you have adequate intellectual property protection for your trade mark. Whilst a franchise comes with the same risks and rewards as buying an independent business, theres an added layer to be mindful of given that the system is owned by the franchisor. Here are our 5 tips for buying a franchise: 1 Know the Code - franchising is regulated by the Franchising Code of Conduct, which gives you certain protections. This includes having a 14-day disclosure period before entering into the agreement. 2 Ask lots... of questions! Franchising is a partnership and communication is essential. 06.01.2022 Now that you’ve stocked up on toilet paper, how can you prepare your business for the COVID-19 pandemic? First up, let your staff know what your policy and plan is in relation to the virus. For example, business travel restrictions, limiting face-to-face meetings, what to do if someone becomes infected, and of course, general hygiene standards. Make sure you and your staff can continue to work by setting up your biz for remote work. What technology do you need to enable t...his? How will your team continue to stay in touch? Get a Remote Work Policy and Cyber Security Policy in place, stat. Now is also a good time to start looking into alternative suppliers, just in case your key suppliers can no longer resource you (permanently or temporarily). Create a Contingency Plan. This should outline what your response will be in the face of any risk or disaster, not just Coronavirus. The better prepared and in control you are, the more likely your business will come out OK. 05.01.2022 Choosing the right structure for your business can be confusing, as each has its own unique advantages and disadvantages. Whilst it's always important to get legal and accounting advice about the best structure, below is a quick snapshot of the most common structures in Australia As a SOLE TRADER, you trade and register an ABN under your own individual name. This is one of the easiest and most inexpensive structures to set up, but it does come with a downside - your persona...l assets are not protected if anything goes wrong in your business. A COMPANY is a separate legal entity that is registered with ASIC. Under this structure, the shareholders' (the owners) liability is limited to their shares, making this a good structure for businesses operating in a "risky" industry or who want to attract investors. A PARTNERSHIP involves, as the name suggests, a partnership between two or more people. The partnership would register its own ABN and partners share the profits - and liabilities. A TRUST is not a simple structure, but it can have better tax benefits than some of the other structures. A trustee will hold the business assets on behalf of the beneficiaries of the trust, and distribute the profits of the business amongst them. 04.01.2022 Franchisors, can you set prices for your franchisees? The Competition and Consumer Act prevents two types of pricing conduct: 1 PRICE FIXING - this involves competitors, or a group of traders, agreeing on set pricing rather than competing against each other. 2 MINIMUM PRICING - this involves a supplier preventing resellers from charging or advertising below a certain price.... Even though its important for franchises to have consistency across the network, setting prices would be illegal under the CCA. Whilst its okay to set maximum prices, you need to be careful that this doesnt fall into price fixing conduct. A better, and perfectly legal, option would be to provide recommended retail prices. These can be accompanied by the rationale for the pricing and the reasons as to why theyre recommended.
