22.01.2022 This pandemic has made me realise how much I rely on buying basics, like eggs. For a long time, I wanted chickens, and suddenly, it seemed the right time. I decided to have a chicken residence built, and it has been fantastic.... I have 5 chickens - Rosemary, Pepper, Marigold, Tulsi and Daisy. These are photos of when we Rosemary laid the first egg!!!! 22.01.2022 I am blessed to work with amazing clients. Shalini is kind and understanding, as well as being super professional. When I first approached her to write up my business Terms & Conditions, I had no real idea what things I actually needed in that document. 20.01.2022 When you are setting up a new business or developing your business there are certain precautions you need to take to protect private information about your business. A key document to help you to protect your business is an NDA (Non Disclosure Agreement). You should never discuss your business without a signed Non-Disclosure Agreement from the other party.... By providing an NDA you are putting the other party on notice that you are concerned about confidentiality and by signing they are legally bound to treat information about your business confidentially. You will use the NDA to protect information about your business including: - Business ideas - Business plans - Marketing plans - Concepts in development - Financial information - Formulae and recipes - Inventions - Research results - Software programs You should prepare an NDA and provide it for signing BEFORE you enter into substantive discussions with service providers and potential investors. When thinking about investing in any business, yours or someone else's- you need to do your homework on that business and the owner.... For example, their financials, debts, client base, plans for development and current stability. Other important things to think about are: What is the purpose of your investment? Do you want to be an owner or a silent investor? Is your investment a loan, or are you investing for equity? How will your relationship as an investor be defined and structured? Are you likely to get a return and when? Before investing, you need advice from a good accountant and have a legal contract in place to protect your investment. Investing in any business is a risk. A commenter pointed out some legal templates (service subcontractor agreements) on an administration and business support job site. This site is not qualified to provide legal information or advice (even general advice). Service and Contractor Agreements are legal documents and should be drafted by a qualified and practising lawyer.... You are looking for a document that is drafted with legal knowledge, care and an understanding of small business in the context of consumer and contract law this requires legal expertise and sound business knowledge and experience. Do your homework before purchasing a template from any online site. Things to keep in mind when researching: 1. Lawyers draft legal templates 2. 19.01.2022 How I manage ill health and deadlines. I started my degree at 27 with a toddler. AND I was studying as an external student living in Fiji whilst establishing a law practice for my husband. I was an external student in the days of taped lectures and workbooks arriving in big padded bags from my university in Queensland, Australia. Midway through the law degree, I was crippled with cluster migraines. I struggled through daily life and studies for the first two years. I had to d...efer a semester in the third year because I couldn't function - the migraines were so unpredictable, and the aftermath was almost as bad as the migraines themselves. If you have suffered migraines, you will know what I am talking about. I have learnt to put health first. Still, sometimes I need a reminder. I think I can push through those days when all kinds of aches and pains descend at once, and I know I need a rest - a few days off. I struggle with the thought of deferring deadlines and client outcomes. We all know how hard it is running a business by yourself, but you are no asset if you can't take care of yourself to put in 100% you need for success. My little reminders, I tell myself: I have taken breaks before, and the sky has not fallen in. Don't be afraid to defer. Its an act of self-care and love to do so. Deadlines are a time management tool. Deadlines rarely mean the difference between life and death. Client expectations can be managed. Take time off. It's my business. I can do it. 16.01.2022 Question! Would you sell a product or service that you were not passionate about? This question was posted in a Facebook group I am in, and it got me thinking. I love writing and am passionate about clients being strong self-advocates. To make the two passions meet, I draft contracts for business owners that are meaningful to their client and supplier relationships, as my core business service. If you are passionate about an outcome, it is easy to sell the service or product... that brings about the outcome. Like I am passionate about clients running responsible businesses, so selling my service as a contract drafting lawyer who loves small business is not a hard sell. It's my work, and I love it because I am all about the results for clients. But what about other services that might complement your business or provide further support to your clients? That you may not love so much. For me, Reviewing and Updating existing contracts is a support service I provide. My true love is drafting custom contracts. I provide the Review and Update service, not because I love it but because it supports my clients to better outcomes if they have an existing contract. Sometimes there is no need to re-invent the wheel. I only need to fix it. You may not be in love with the complementary or support service or product. Still, it supports your core service or product AND supports your clients to a better outcome. In that case, the effort to sell something you are not crazy about doing or making is justified. To answer the question: Yes, you can provide a contract at any time, but you do need to discuss the contract with the client and ask them to agree to the contract terms. And is this the case with graphic design etc?"... : Copyright is always the creators in the first instance (the lawyer drafting) unless transferred to the client by agreement. You are paying for the service providers skill and expertise (the same as you would when hiring a photographer) - the ownership of the IP is a matter of transfer by agreement or payment or both. 08.01.2022 My 2020 word is This word has been spot on for me. I had to reinvent some of my business processes to cope with the influx of contract and terms drafting work that came in April and hasn't stopped. I also had to reinvent how I think about my business and my capability (which I previously underplayed). I had to firmly put on the CEO hat that I avoided at times to make decisions for growth and sustainability. Reinvention and stepping into CEO mode included... upgrading support hours for me, changing over from basic to business plans of apps that support my business, raising fees to meet the value that I provide; and investing in my self-care more than ever before. This is what 2020 has been for me - reinventing myself to look at a different world differently. 07.01.2022 The year is coming to a close, and the events of 2020 have taken its toll on many levels. There is no doubt that humanity was tested in so many ways. And in 2021 we will adjust to many new normals. I feel better when I think about the good stuff that came out of trial that was 2020. Thankfully my business did not skip a beat, and I was ready to help my clients navigate difficult times with their clients and suppliers. I had to do more of what I loved - educating about busin...ess responsibility and managing client relationships, the ins and outs of contract terms and why some work and others are problematic. I realised less is more. I saw less of my family and appreciated them more. And mostly I am grateful that all of my tribe who hold my heart are alive, well and thriving although we are not all together. I learnt that its quality beats quantity every time. And that I don't need a lot of "things". And that domestic life does provide some stability and comfort when the world seems crazy. And there is some merit in the saying "Love the one you are with" because for a short (and sometimes long while if your loved one was overseas) you were stuck with the one that you were with before borders closed Did you learn stuff about yourself that you can thank 2020 for? Learnings you will take into the new normal of 2021?

A response I received was "I've been thinking about this as I'm writing up FAQs and Terms and Conditions at the moment! I have been wondering though, are Ts & Cs something that needs to be looked at (or written by) a lawyer?" My Reply: You should have any legal document, including terms and conditions prepared by a lawyer. If you have written them y...ourself, you should have them reviewed by a lawyer. People who write terms themselves or copy terms from somewhere else often miss important clauses relevant to their business process or industry or they include terms that are unnecessary resulting in a bulky document that is difficult to read. Getting your terms written professionally is an investment the profitability of your business - it is an important document that you rely on to protect your bottom line, your business as a whole and to educate your customers on how to best interact with you. Writing them yourself is like getting someone who only knows how to make cupcakes from a packet mix to bake a specialty cake for your wedding. 03.01.2022 OMG, my Client has paid the invoice but hasn't signed the agreement, What Now? What does it mean when a client doesn't sign your Client Contract, BUT they pay your invoice? Acceptance of your Agreement/Contract can occur by signing, conduct (by paying your invoice) and performance (continuing to work with you).... HOWEVER you should state clearly in your contract the specific conduct that constitutes acceptance where signing is not completed, so all parties are clear. FAQ’s are a great tool for your website to educate and clear up questions that visitors might have about your service or products for example your postage information or how to enrol in your online course. You can’t say, Well, my refund statement was in my FAQs so you’re bound by it. You need to provide your business terms and conditions ...where it is expected to be easily found and agreed to (tick box agreement) so there is no doubt that your client or customer had direct access to the terms and can tick agreement. 02.01.2022 Can you add emails of purchasers who have bought items from your online store to your email list? The short answer is NO! You need to send them an email asking for consent to send updates and marketing information and give them an option to opt out from your list.... You can also provide a tick box consent to sign up to your newsletter and email list at the checkout or Point of Sale (POS) in your online store. The invitation to sign up can include an offer such as a 10% discount to the VIP email list as a thank you at their next order. Offering an incentive is a great way to grow your email list. Still, you need to have your Privacy Policy and Terms of Sale (e-commerce policy) in place to ensure you are collecting personal information legally and that your shop, products and sale process is protected. Here are 3 reasons why consent at checkout or by email capture email addresses is essential: 1. GDPR and Australian Privacy Principles require that you obtain consent anytime you want to collect and retain information for marketing purposes. 2. The consent statement is how you communicate your Privacy Policy to the client by providing a link to the Privacy Policy, which should sit on your website. 3. 01.01.2022 I have many clients who provide coaching and/or therapy services. Each has its own USP (Unique Selling Point) even though they are in the same or similar niche. When a person in your niche thinks about engaging a coach or a therapist, they are likely to have preconceived notions or expectations of about that service. They will be influenced by their own challenges, what their friends think, and what they may have read in a blog, newsletter or sales page. You want a client who... is engaging YOUR service to be clear about what they are buying from YOU and what transacting with you requires of them.
