This is a complex Supreme Court matter and we hope we can settle this matter out of court. It is alleged that our client has received a payment of $133,166.68 whilst the Company was likely to be insolvent at the time the Payments were made to our client. It is further alleged th...at the payment was made on a preferential basis. Unfair preferences occur in transactions where the Debtor discriminates in favour of one creditor at the expense of other creditors. 09.01.2022 Member of Mauritius delegation due to appear in Southport Magistrates Court but Queensland Police said that they were unlikely to seek extradition if the Games official failed to appear in Court. The man was charged with an alleged assault at the Commonwealth Games and is due to appear in the Southport Magistrates Court on April 17. Police will allege the man assaulted a 26-year-old woman in Southport on March 29. The man was charged with one count of sexual assault pursuant ...to section 352 of the Criminal Code Act 1899 (Qld) (Criminal Code). The offence of sexual assault occurs where a person unlawfully and indecently assaults another or procures another person without their consent to commit an act of gross indecency or witness an act of gross indecency. The offence carries a maximum penalty of 10 years imprisonment or 14 years if there is a circumstance of aggravation. The man is due to appear in the Southport Magistrates Court on April 17 but he is currently in Mauritius. Deputy Commissioner Steve Gollschewski said the man "had made an undertaking to appear in court on April 17". In the event that the man does not appear in accordance with his bail undertaking then a warrant may be issued pursuant to sections 28 or 28A of the Bail Act 1980 (QLD) or section 367 of the Police Powers and Responsibilities Act 2000 Qld) (PPR Act)). But Queensland Police said that they were unlikely to seek extradition if the Games official failed to appear in Court.

07.01.2022 Corporate Law Duties of a Trustee Duties of a director of a company Sections 180-182, 184, 260A & 260B of the Corporations Act 2001 (Cth) ... This week we deal with a complex corporate law issue. We act for the director and shareholder of a multi-million dollar company who is one of the majority shareholders of the company. The company is a trustee of a Unit Trust. The company has five shareholders. Our client owns 40%, Shareholder B owns 40%, Shareholder C owns 10%, Shareholder D and Shareholder E each owns 5% of the issued shares in the company. The unitholding is in the same proportions. Our client has entered into an agreement to purchase Shareholder B’s 40% shareholding and 40% unitholding. It is proposed that in order to assist our client with the funding of the purchase, our client would require a general security agreement to be placed over the company to secure our client’s borrowings which will be used to purchase the shares and units. Our client will also require the company to provide a guarantee to the lender to better secure that transaction. We have been asked to consider this transaction and provide legal advice as to whether this transaction is lawful and whether the company can provide financial assistance to our client to acquire the shares in that same company. In this case financial assistance includes the granting of a security interest and providing a guarantee. We are only required to provide advice to the director of the company. The company has sought independent legal advice. Please note that anything written on this page does not constitute legal advice.
