25.01.2022 Joint Ventures can bring many rewards but they need to be exercised with care. Heres why: In a simple definition, a joint venture (JV) is where two or more parties combine their resources to accomplish a shared objective. Pooling resources money, expertise, ideas, skills, connections, facilities and Intellectual Property allows for new ideas to be formed and ultimately, the creation of greater VALUE for stakeholders.... Some of the reasons that businesses join forces include: > Sharing burdens and responsibilities of the enterprise > Complementary strengths and interests > Innovation, expansion and success to maximise profits. > Leverage resources, expertise and customer bases > Reducing costs, losses and investment risks However, a JV naturally introduces a myriad of risks to both parties, and we have witnessed many failed relationships that have resulted in countless dollars and hours down the drain. The common denominator? The other party! The most important decision when starting a joint venture is WHO you will enter with into a business relationship. The fundamentally critical question is Does one know the other parties business history. Here are some of the many reasons that JV relationships may collapse: > Inadequate agreements or No written Agreement As Louis B Mayer (of MGM fame) said famously A verbal agreement is not worth the paper it is written on > No agreed Business Plan or strategy, including goals. > No clear and agreed role definitions, leading to Expectations not being met > Imbalance of contribution > Lack of commitment If you are considering a JV, here are two foundational steps we encourage you to take: Firstly, conduct thorough Due Diligence research of the other party, including Probity Checks and background checks maybe even criminal history. Ensure they are appropriate for the role and more importantly, they align with your values. Secondly, acquire quality legal and professional support. This involves a more in-depth investigation of the other party to evaluate their track record, as well as getting all the appropriate legal elements to protect you. 19.01.2022 The NSW Courts are coming down hard on Drink Driving this Christmas season. One driver with a high-range drink-drive (first offence) received a 7 month custodial sentence, which was suspended for 7 months. For NSW drivers, please note that Double-demerits started midnight 22 December.

18.01.2022 Get me out of this mess! One of our cornerstone clients entered a joint-venture where one JV Partner invested high 6-figure sums in shareholder funds, and important business agreements were entered into as part of the new enterprise. Rather than seeking legal advice, the client informed our team of the JV after they had entered the arrangement with the other party. From the get-go, the client had exposed themselves to severe hazards with exceptional risk.... To protect our client from potential harm, our first action was to conduct a probity check on the other party. Within just an hour of surface research, we discovered serious reservations about the other party, regarding their ethics, their honesty, and the fact that they had several matters before the Federal Court for bankruptcy. We immediately notified our client of our great concerns regarding the suitability of the joint-venture partner and cautioned against any further investment and dealings with the other party. Unfortunately, our client decided to proceed cautiously and not terminate the joint-venture agreement. However, the whole matter came to a head when key agreements relating to business contracts, supplier contracts, employment agreements and the client base were not forthcoming in spite of the assurances from the other JV partner. By this stage the joint-venture corporate vehicle had secured several lucrative leases from which they intended to conduct their business. Unsurprisingly, our client gave us instructions to get me out of this mess! In one week, we were able to secure shareholder approval of the joint-venture vehicle to liquidate the company and deregister. Prior to liquidation, we were able to secure shareholder approval to assign the valuable leases to a new corporate vehicle that we had set up, to allow our client to continue with the business venture on their own. The unfortunate outcome for our client was that they lost their shareholding in the JV and corporate vehicle which could have been avoided had they taken legal advice at the earliest opportunity. Conducting a probity check can quickly offer invaluable insights that can limit the risks of situations like these. This case study is a strong demonstration of the importance of taking extreme precaution when entering a joint-venture relationship, and most importantly, seek legal advice.

10.01.2022 There is a common myth about traffic roundabouts - that one gives way to traffic coming from the right. If that is your view and you are involved in an accident, you will be at fault and will cop a hefty fine, lose demerit points and maybe even be charged with Negligent Driving Occasioning Actual Bodily Harm, or even worse. The rule of "Giving way to vehicles already in the roundabout" can be confusing and the advice given by a Highway Patrol Office was to treat a roundabout... "Like a 4-way give-way". Just because one driver is travelling at speed from another drivers right side does not give the speeding driver the right of way, although the safe driver exercises common sense and does give way. I have witnessed the emotional trauma suffered by mothers, fathers, children, relatives, friends, and work colleagues although, in my experience, fathers are often the most unsupported party. There are 3 key challenges faced by men, where they could use a little more support. 06.01.2022 This topic sits close to my heart A marriage breakdown is one of lifes greatest tragedies and the ensuing separation and change to the family unit is one of the most difficult and stressful times for every family member. I so vividly remember the hurt experienced by my mother and father as they went through their separation. 03.01.2022 Sadly when marriages and de facto domestic relationships breakdown, there are some very important matters that tend to be forgotten in the emotion of the moment of separation. One key matter that sometimes gets overlooked is the need for the parties to change their Wills, and any Powers of Attorney and Enduring Guardianship that appoint the other party. While a divorce will invalidate the estranged beneficiary, this is not the case during separation.
