25.01.2022 Buying or selling a business can be an exhilarating decision: perhaps you have been inspired to start a new venture or change careers, or, after many years of hard work, you are finally ready to sell your business. As rewarding as this transaction may be, numerous technical and financial considerations can make the process confusing and overwhelming for the people involved. 5 THINGS YOU NEED TO KNOW ABOUT BUSINESS SALE AND PURCHASE... * Buying or selling a business is a significant decision. Whether youre a seller (a vendor) or a buyer (a purchaser), its important that you protect your interests before, during and after a transaction. * One of the first steps in the business purchase journey is due diligence. Due diligence is the process of investigating the business and its operations to give you more information about what you are purchasing. A business lawyer can assist during the due diligence phase of a business purchase. For instance, if you are purchasing a business that has many clients, you will need a lawyer to check that contracts are in place with each customer and that those contracts cannot easily be terminated. * In general, the vendor will be responsible for preparing a sale of business agreement. The purchaser will then review the agreement and suggest amendments. After that, the parties will negotiate until they reach an agreement that suits both of them. It is a good idea to use a specialist lawyer to help you with drafting, reviewing and negotiating the sale of business agreement. * For the sale of smaller businesses, it is common to use a standard form sale of business contract. However, many buyers and sellers add special conditions to the contract that set out particular terms for their transaction. If you are selling a more complex or higher-value business, your lawyer might prepare a bespoke contract. The key terms in a sale of business agreement cover: (i) the subject matter of the transaction (what assets are included in the sale); (ii) the price; (iii) when the buyer will need to pay the seller; (iv) what liabilities each party will take on and what protections will apply if the business is not a success after the deal is finished; and (v) non-compete obligations. * A non-compete clause is a type of restrictive covenant: a term of a contract that has the effect of limiting the commercial activities of a person or business. In the context of a business sale, a buyer will want to ensure that the seller cannot set up a new business to compete with the old business after the sale has been finalised. To be enforceable, a non-compete clause must be reasonable to protect the interests of the buyer. Its a good idea to seek the advice of an experienced lawyer, who can help draft a clause that strikes the right balance for your transaction.

22.01.2022 Today Souki Lawyers attended a Directions Hearing at the Federal Circuit Court of Australia at Parramatta NSW appearing remotely. Our client was previously unrepresented and unaware that the family law trial for parenting arrangements was listed as undefended. We negotiated and settled the matter on the basis our client is paid an equivalent of 5 months worth of wages because reinstatement was not the appropriate remedy. This being a great outcome in an unfair dismissal claim as the maximum compensation the Commission can award an employee is 6 months of their ordinary pay. 15.01.2022 Respondents to an Intervention Order will often consent without admission to the Order with a view to finalise the matter. In Victoria under Section 3 of the Firearms Act 1996 (the 'Act'), you will be deemed a prohibited person if you are subject to a Final Intervention Order. Being deemed a prohibited person means that you will not be able to possess a firearms licence for the duration of the Order and for five years following its expiry.... You may be able to apply to the Court to be deemed a non-prohibited person under Section 189 of the Act. Should the application be successful, your firearms licence will be reinstated if it has been suspended or alternatively you will have the liberty to apply for a new licence if it has been cancelled. If you are the respondent to a Final Intervention Order and wish to retain or obtain a firearms licence, we suggest you immediately contact one of our expert criminal lawyers to obtain legal advice. A divorce application is made in the Federal Circuit Court of Australia who has jurisdiction to deal with the dissolution of marriage pursuant to Part VI of the Family Law Act 1975. If you are in Western Australia, you will need to apply to the Family Court of Western Australia. In Australia, the law does not consider whose fault it is that the marriage broke down. However, the Court must be satisfied: 1. A marriage existed; 2. The parties are ordinarily domiciled in Australia; 3. The parties have separated for a period of 12 months; and 4. The marriage has broken down irretrievably. Whilst a divorce order will not include parenting or property arrangements, if you have children under the age of 18, the Court must consider whether the parties have made proper arrangements for their care, development and welfare. If granted, a Divorce Order will take effect following one month and one day from the date of Order. You will not be able to re-marry until the divorce order is finalised.
