10.01.2022 ATO Clearence Certificate. As you may be aware, Contracts for the sale of real estate over $2million require an ATO clearance certificate to be provided from the Seller to the Buyer prior to settlement, otherwise 10% of the purchase price must be withheld by the Buyer and paid directly to the ATO. On the 1 July 2017, all contracts with a ‘purchase price’* of $750,000.00 or greater, will now require an ATO clearance certificate to be provided by the Seller to the Buyer- a dra...matic decrease from the previous $2million threshold. A tax file number is required to obtain an ATO clearance certificate. If an ATO clearance certificate is not provided, a withholding tax rate of 12.5% (increased from 10%) must be retained by the buyer and paid directly to the ATO. The statutory amendments will now cover a significantly greater amount of transactions and this gives rise to a number of concerns and issues that you should be mindful of, including but not limited to: (i) The turnaround time to obtain a clearance certificate may be delayed due to the greater volume of transactions thus settlements may be effected (i.e. if the seller requires the full amount from their sale to purchase an ongoing property settling contemporaneously); (ii) A seller may not have a tax file number this is not as uncommon as one would think. In this respect, please note that a tax file number may take approximately 4 6 weeks to obtain. Further, we have been informed that a new REIQ contract and potentially a new ADL contract will include the abovementioned provisions, which if it follows the previous versions, will require the clearance certificate to be provided at least three (3) days prior to settlement. Having regard to the delays that may occur, it would be prudent to notify the Seller of the requirement to obtain a clearance certificate at the earliest instance, and ensure that each seller(s) has a valid tax file number. The clearance certificate lasts for a period of two years and is free to obtain online using the following link: Clearance certificate application for Australian residents. *Note: the legislation specifies that the withholding is actually on the "first element of the cost base". However, as purchase price is understood by vendors and purchasers, and in many instances will equate with the "first element of the cost base", we have used the term purchase price for simplicity.
