23.01.2022 Notice to Yappera Members seeking feedback - Co-operatives: current restrictions across Victoria for attending meetings Yappera 2019-20 AGM Notice to members, Under the restrictions currently in place across Victoria, attending a co-operative meeting is not a permitted reason to leave home. You are also not allowed to: ... gather in public places with more than one person, other than members of your household, or have visitors to your home unless it is to deliver care or essential services. Holding a members meeting or Annual General Meeting At the recent Yappera board of management meeting, board members discussed some of the challenges faced with holding a virtual AGM including accessibility to technology including teams, Zoom or Skype for some members; accessibility to devices to access these platforms for meetings; no internet access; difficulties/challenges with the membership voting process; Organisational obligations of getting all reports and correspondence to members well in advance and prior to the members meeting. If the member feedback was to hold a co-operative meeting, we would then need to: use an alternative meeting method, such as teleconference or video conference. The Co-operatives National Law (Victoria) permits directors to hold board meetings, or carry out co-operative business outside physical meetings, by using technology that allows the board to clearly and simultaneously communicate and share documents with each other. Boards can also hold meetings by circulating papers without the board members being physically present together. Papers can be circulated electronically. use proxy voting or postal ballot. The rules of some co-operatives permit the use of proxy voting and/or postal ballot. We strongly advise that you seek independent legal advice beforehand, to ensure the board is meeting its regulatory requirements. For more information, see the Consumer Affairs Victoria Coronavirus (COVID-19) and your rights page. /2 We will make a final decision no later than Thursday 29 October 2020 2 weeks from todays date enabling us to get some verbal and email correspondence feedback from the members to inform our final decision. If the majority decision was to postpone the members meeting, we anticipate March 2021 and again, depending on COVID 19 restrictions across Victoria. Please provide us with some feedback using the following methods:- Phone : Call us on 03 9416 8787 Email us at [email protected] Regards Stacey Brown Chief Executive Officer For & on behalf of the Yappera Board of Management
