22.01.2022 Buying a business? Remember the old Latin adage Caveat Emptor Buyer Beware! Ensuring a business stacks up, and is what you are paying for is a big job, so you must do your homework. This is your opportunity to avoid a world of problems. We are frequently approached by new business owners who realise they have made a terrible mistake and bought the wrong business. Common complaints include:... - The business does not turn over what was represented. - The previous owner was the business and when he left, the business left with him. - The previous owner has taken all of the clients and is operating in opposition. - Key management and staff left upon settlement. - The business entity is being sued or is exposed to some other liability or undisclosed payments. - Title of the business did not cover certain plant and equipment or intellectual property. - Plant and equipment does not work. - General representations made on a variety of subjects found to be incorrect. Unfortunately the old adage, Possession is nine tenths of the law is so true. Once settlement has been affected it is hard and costly to seek remedy. Although there are many pitfalls in buying a business, there are steps you can take to minimise the risk of buying a lemon. #law #auslaw #riskmanagement #duediligence #business

21.01.2022 Are employees snacking into your profits? The concept of employee theft is not new to employers, with many managers and business owners generally aware that this is a potential area where loss may occur. Within Australia alone, employee fraud and theft is estimated to cost retail businesses $2.7 billion annually; this can be due to both negligence and criminal activity. Many businesses take precautions such as placing cameras over cash registers and storerooms, with a view t...o deter and/or catch offenders. However, it may be less clear to employers that a business may suffer a loss outside of the theft of money or stock. As this article highlights, what may start off as an innocent employee habit, can eventually rack up a huge loss for a business. The same may be seen where an office worker innocently takes a few sheets of paper or a stapler for their own home, or a tradie takes a tape measure to perform some weekend handy work. A simple policy that prohibits employees from consuming produce would have saved this business almost $13,000 AUD. The immediate effect of this may not be evident, but the cumulative effect of these behaviours can cause consequential loss for business owners. There is a need for stronger loss prevention schemes to be in place, and it all starts by evaluating all areas of potential loss for your business and then developing strategies and policies to reduce behaviours that promote loss. #lossprevention #business #theft #riskmanagement #auslaw https://www.news.com.au///84db71cff71b3e1806367729d694dc9a
