23.01.2022 Retail and Commercial Leases Like leases for residential property, commercial leases grant an interest in property from landlord to tenant over premises such as office buildings and retail shops. In South Australia, commercial leases are governed by the Retail and Commercial Leases Act 1995 (Act). When entering into a commercial lease there are a number of responsibilities that both landlord and tenant must follow and consider, some of which are set out below. Duration of... a Commercial Lease Under the South Australian Act it is required that the minimum duration of commercial leases be 5 years, including any option to renew which can be exercised by the tenant. Once entered into, a lease, like a contract, cannot be unilaterally terminated without attracting a penalty. To lawfully exit from a lease before the time prescribed in the contract has expired, consent is needed from both tenant and landlord. Information for Prospective Tenants Prior to entering into a commercial lease, it is expected that the landlord will provide a potential tenant with a copy of a proposed lease and a disclosure statement. The disclosure statement is an important document in helping a tenant make a decision as to whether they should enter into a rental agreement as it contains information about the property, and the rights and obligations of the lessee and the landlord. This includes details of costs that the lessee will be required to pay in addition to the rent, as well as any interest payable for arrears in rent. It is important to read the terms of conditions of the lease agreement to better understand the rights and responsibilities placed on tenants and landlords. For example, it is generally the responsibility of the lessee to maintain the premises, except where structural damage has occurred, and pay for outgoings such as council and water rates, and insurance. Cosmetic alterations to the property will also be at the expense of the tenant and need to first be approved by the landlord. Expenses that a tenant will not be liable to pay under the commercial lease agreement includes land tax and, for leases entered into after 1 July 2004, stamp duty. Entering into a Commercial Lease Under the Retail and Commercial Leases Act a lease may be entered into in the following ways: Tenant and landlord are signatories to the lease agreement; or A person has entered into possession of the premises under the agreement; or A person begins to pay rent under the agreement. Once a lease is formalised, if it is of duration greater than one year then it should be registered with the Lands Titles Office to prevent other interests being claimed on the property. Resolving Disputes In addition to proceedings for disputes that may be commenced in the Magistrates Court (for claims less than $100,000) and District Court (for claims more than $100,000), the Retail and Commercial Leases Act also allows for mediation with the Small Business Commissioner of South Australia.
