21.01.2022 From our Principal: A lot of people ask what I do. I tell them we provide family business owners financial freedom so they can enjoy more TIME with family, travelling and other passions.... I enjoy keeping tabs on past client journeys, post exit of their business, and seeing what they get upto. For me it took great pleasure to be able to exit the Totino Family out of their long standing successful family business Festival City Food and Wine, allowing Don (the MD) to spend more time at his award winning winery and where his true passion lies. What better way to see retirement out then on the rolling hills of his own winery in the Adelaide Hills. Totino Wines represent wines with a European flair. Italian born owner, Don Totino migrated to Australia in 1968, at the age of 18. His love of Italian culture and in particularly food and wine has plans in the near future to plant Italian variety’s into Australian soil. Mixing the two cultures to give the perfect product. Give their world runner-up 2018 Shiraz a try or their gold winning 2014 Vintage which won gold at the Sydney Int Wine Show in 2019. #foodservice #mergersandacquisitions #foodandwine #foodandbeverage #exitstrategy #acquisition #familybusiness #wealthprotection #capitalpreservation #investors #familybusiness #sme #festivalcity #bidfood #food #logistics https://www.foodanddrinkbusiness.com.au//bidfood-snaps-up-

20.01.2022 We are proud to have facilitated and advised Darko Glogovac and Woodcut (https://woodcut.com.au)on the majority sale to Petra/ QLC Private Equity. Covid obviously provided a challenging M&A landscape for parts of 2020 so we are proud of the work of our team Emil Parthenides, Nick Kenos, Michael Parthenides and Adam Mazzaferro, and thank all external advisors for their roles during the transaction. We congratulate both Petra/ QLC on a great acquisition of Australia’s leading... premium flooring brand in Woodcut, and our client Darko Glogovac for building a business of such high quality to be sought after. We wish both parties all the best in the next stage of the business under the Petra Industries group. https://www.afr.com//kestelman-backed-petra-takes-stake-in #woodcut #mergers #acquisitions #investmentbank #privateequity #exitstrategy #businessadvisory #streettalk #businessnews #buildingindustry #flooringbrand

20.01.2022 Under Offer! Now under contract, a packaging company specialising in Disposable/ Takeaway Food Packaging and Chemicals under offer to an Australian Owned Trade Acquirer. This successful business has been in operation with the same vendors for nearly 30 years, servicing direct to Food Service outlets and distributors.... EP Advisors was engaged by the acquirer on a buy-side mandate to find and negotiate a suitable trade acquisition, as well as project manage until completion. We have been able to negotiate an integration strategy pre-completion date, thus allowing our client synergies at day 1 of operation. We look forward to assisting our client through the process to completion, with an announcement in late July. #packaging #takeawaypackaging #foodservice #fooddistribution #foodandbeverage #bakery #coffee #ecopackaging #businessowners #sme #buyside #investment #acquisition #underoffer

20.01.2022 M&A Activity expected to be strong into COVID normality. See below, we agree with these points, hence the demand for good opportunities for buyers to invest currently outweighs the supply. We have been asked by potential clients whether or not timing to market is good, it wasn’t March to June, however July onwards has seen huge demand for deal flow by trade, PE and Family Offices. So, whilst demand outstrips supply, good economics says the timing is quite good to explore exit...s for strong performing businesses. Thankfully, the bulk of our clients have been considered essential services so either they have had little impact or uplift during COVID. #mergersandacquisitions #acquisitions #exitplanning #exitstrategy #businessadvisory #familybusiness #privatebusiness #privateequity #familyoffice #jointventure #businessexit https://www.linkedin.com//epadvisors_m-mergersandacquisiti

19.01.2022 From our director: Congrats to the PFD team on this majority sale. This is big news for anyone involved in the food distribution space, and a good strategic acquisition by Woolies. Especially, with the threat of Amazon wanting to enter grocery delivery space.... I think the next obvious play would be Coles targeting Superior Foods as the only other non-listed national distributor. Maybe Bidfood should jump in and put hand up, and mess that party up??? Coles would then need to consolidate smaller operators nationally. It is good to see some activity in the sector. It has been relatively quiet on the acquisition front since our directors sold Festival City SA, and Goldline Distributors WA to Bidfood. RFG made some waves for a period with acquiring Hudson, but back focusing on their core business. A lot of friends in the sector, some are hurting, so this might see them get a little jump back in their step. https://www.afr.com//woolworths-buys-552m-stake-in-pfd-foo #foodbusiness #foodandbeverage #groceryindustry #fooddistribution #foodservice #mergersandacquisitions

16.01.2022 Who said businesses won’t sell during a pandemic? Not us! Our clients continue to generate interest from our sophisticated acquirer network. Proud of our team, led by Paul-Anj Economedes and Michael Parthenides to negotiate a sale via a strategic investor, providing the business Matcha Maiden, and its founders with a fantastic strategic exit strategy, via majority sale.... This being the second successful food related ingredients business of the year sold by our team. 16.01.2022 The company’s FY20 financial results showed Cereal and Snacks revenue fell 14 per cent to $70 million, with the adjusted EBITDA pre-AASB16 loss rising slightly to $32.1 million. Unrealistic operational costing budgets and ineffective trade spend in the retail channel were to blame, as were numerous poor outcomes from NPD. 13.01.2022 We see profitable business on paper every day, yet, are unhealthy businesses, struggling to keep their head above water. Most family business (successful or not), do not understand the difference in Free Cash and Book Profit, and don’t really know the true position of their business. Most investors and acquirers will pay higher values for healthy businesses with Low Working Capital requirements and Free Cash to distribute. ... This video is a fantastic summary to assist in understanding whether you have a healthy or unhealthy profit business. 12.01.2022 Takes years building a business of value, one in which strategic acquirers show interest. So as key stakeholders, do what you have done so well over the years; selling yourself and the business, and don’t stuff up strategic investment opportunities by being disrespectful, rude, arrogant to parties who may one day acquire your business if you’re lucky. 02.01.2022 They say timing is everything, and Woolies buying PFD has created a perfect storm for Quadrant. We had a similar storm benefiting vendors when RFG acquired Hudson. A roll-on effect occurred with great multiples for our 6 clients sold across Tas, SA, Vic, NSW and WA, between 2016 and 2018. The fear of RFG consolidating, led to a buying rush of strategic locations.... Prior, multiples in the sector were quite low, generally under 4 x, however post Superior to Quadrant 2015), and in particular Hudson to RFG, multiples exceeded 4 x ++. Then, mid 2018, the sector became a buyers market again, with very little activity until now. I am getting asked again by players in the sector if timing is good. I think it is and talking with PE who have some interest in possibly consolidating distributors, as other giants will be looking to copy Woolies and Coles. We’ve looked at this before, but due to low margins in sector it was difficult to get up, but now the timing seems better for a consolidation. #privateequity #investmentbanking #familyoffice #foodservice #fooddistribution #coles #pfd #woolworths #amazon #metcash #uber #foodandbeverage https://www.theaustralian.com.au//5a36aee0651661cd9dae3e57
