24.01.2022 Lipman Karas' Special Counsel, Lucas Arnold, writes about Litigation Funding in England and Wales - Funder's Control and Champerty. In 2016, the Court of Appeal in Excalibur Ventures LLC v Texas Keystone Inc[2016] EWCA Civ 1144 (Excalibur) said: litigation funding is an accepted and judicially sanctioned activity perceived to be in the public interest. Despite litigation funding now being an established part of civil litigation in England, claimants, their advisers and funders may still be concerned that a defendant will either challenge the funding arrangements as champertous or seek access to the funding agreement. 24.01.2022 Lipman Karas' Special Counsel, Harley Schumann and Associate, Franklin Koo write on An Office Fit for a King - Shadow and de Facto Directors in Australia. The High Court of Australia has unanimously overruled a decision of the Queensland Court of Appeal that imposed a restricted definition of ‘officer’ in section 9(b)(ii) of the Corporations Act 2001 (Cth) (Act). The effect of the decision was that a person could only satisfy the definition of officer if they had been fo...rmally appointed to a position in the company. 21.01.2022 Emily Gillett and Lucas Arnold write about Forcing Asset Disclosure: When Even Committal Proceedings are Not Enough. In Lakatamia Shipping Company Ltd v Su [2020] EWHC 865 (Comm), the English Commercial Court has recently supplemented the arsenal of the claimant against a defendant who refuses to produce asset disclosure. It did so by granting an order that required the judgment debtor, Mr Su, to direct his social media and email providers to grant access to those accounts to an independent lawyer, appointed by the Court, to review and give discovery of non-privileged documents to the judgment creditor, Lakatamia. 20.01.2022 Brooke Holden and Simon Collier write about the doctrine of penalties. In the past five years, the doctrine of penalties has come under significant scrutiny in the United Kingdom and Australia. In particular, the courts have expressly moved away from the traditional test in Dunlop Pneumatic Tyre Co Ltd v New Garage & Motor Co Ltd [1915] AC 79, which was focused significantly on the need to assess whether the sum payable under the impugned clause is a genuine pre-estimate of ...loss. In 127 Hobson Street Limited v Honey Bees Preschool Limited [2020] NZSC 53 (Honey Bees), the New Zealand Supreme Court (NZSC) has done likewise reinforcing that a clause will be upheld if it protects broader legitimate interests, which is not limited to a pre-estimate of the loss which would be recoverable in damages. The.Wamala Art was chosen from a shortlist of fou...r, from over 70 applications received from across Africa, for the inaugural residency program. Dr Lisa Slade, Art Gallery of South Australia made the final selection. Unfortunately, like a lot of other things, the residency was impacted by COVID-19 with Wamala making a hasty return to Uganda before the government lockdowns came into place. The Ontario Court of Appeal has considered the application of the corporate attribution doctrine and the illegality defence of ex turpi causa in Caja Paraguaya de Jubilaciones y Pensiones del Personal de Itaipu Binacional v Garcia, 2020 ONCA 124. The case involved a massive fraud against a pension fund which was facilitated by the funds’ own corporate officers. 14.01.2022 Lipman Karas Senior Associate, Mark Giddings, has published an article in the Insolvency Law Bulletin on statutory demands under Australia’s coronavirus relief measures. The article looks at the recent decision in Sunstate Land Pty Ltd v Hiview Design & Construction Pty Ltd [2020] QSC 181 on whether a demand issued after the measures entered into force was valid. In a recent decision, the English High Court has found the Royal Bank of Scotland (RBS) (now Natwest Markets), together with one of its subsidiaries (RBS SEEL), liable for dishonest assistance and fraudulent trading. The Defendants were found to have played a pivotal role, through two of their traders, in an elaborate VAT fraud perpetrated by the directors of Bilta (UK) Limited and nine other companies: Bilta v Natwest Plc & Anor [2020] EWHC 546 (Ch). In a world where business is conducted internationally and law firms operate within a global market, the resolution of commercial disputes often requires steps in more than one jurisdiction. 12.01.2022 Lipman Karas' Special Counsel, Harley Schumann and Associate, Franklin Koo write an update as Hong Kong Companies Court Judge calls for restructuring powers "immediately". Although Hong Kong Courts lack the power to appoint provisional liquidators solely to facilitate restructuring and corporate rescue (so called "soft touch liquidators"), recent cases have held that this does not prevent the court from recognising and assisting foreign liquidators appointed for this purpose abroad. In this case the Companies Judge, Harris J, granted recognition and assistance to soft touch liquidators appointed in Cayman, and took the occasion to make an emphatic call for urgent legislation that would allow Hong Kong Courts to do the same thing domestically. https://www.lipmankaras.com//hong-kong-companies-court-ju/

09.01.2022 On Saturday 28 September, Lipman Karas attended an exciting exhibition match where the Kaurna Boomerangs played an Ice Factor Alumni team. Before the start of the game, LK was thrilled to be presented with a LK personalised team guernsey. The game was very competitive and the Boomerangs certainly looked sharp on the ice.... This was an important part of the team’s preparations for their trip to Canada in January to play a First Nations team. Many thanks to Marie, Sami, Justine and Brittany for organising this great event and for hosting us in the VIP room. 08.01.2022 Emily Gillett, Simon Collier and Tim Bost write on "Where's the Trust in a Cryptocurrency Exchange?" On 14 January 2019, the New Zealand cryptocurrency exchange Cryptopia was hacked and approximately NZD$30 million was stolen. By the end of May 2019, Cryptopia had been placed into liquidation. The liquidators were tasked with determining who had an interest in the remaining cryptocurrencies and what the nature of their interests were. Earlier this year, in Ruscoe v Cryptopia ...[2020] NZHC 728, the New Zealand High Court held that cryptocurrency was a species of property and, that in the circumstances, the cryptocurrencies were held on trust for the accountholders. 06.01.2022 Today, Lipman Karas was honoured to host a lunch with the Kaurna Boomerangs ice hockey team, Marie Shaw QC, Justine Shaw, Brittany Armstrong and Joey Matthew to celebrate their partnership with Lipman Karas and their recent successful exhibition tournament at the Arafura Games in Darwin, Northern Territory, Australia. Marie and members of the team spoke about the origins of the Kaurna Boomerangs team (Australia's first indigenous ice hockey team) and their hopes for the futur...e including a proposed trip to Canada in early 2020 to play a Canadian First Nations team. The lunch concluded with the Kaurna Boomerangs presenting a custom painted hockey stick and puck, and a team photo to Lipman Karas which we will proudly display in our office. In the recent case of Hai Jing 1401 Pte v Singapore Technologies Marine Ltd [2020] SGHC 20, the High Court of Singapore decided that where a defendant to a claim under a contract denies it is party to that contract, it may nevertheless enforce an arbitration agreement applicable to that contract if the claim otherwise falls within its scope. Amid a reported increase in the number of class actions over the past decade, the Australian Government has announced changes to the Corporations Regulations 2001 (Cth) to facilitate greater regulatory oversight of litigation funders operating in Australia. The changes, set to come into operation on 22 August 2020, will require funders... of class action litigation to hold an Australian Financial Services Licence (‘AFSL’). After some initial confusion following the announcement, the Government has now provided welcome clarity that the changes are confined to class action litigation funders, and do not affect funders of insolvency litigation or single plaintiff claims.
