16.01.2022 Some of the business on the agenda of the foundation meeting ratification of the inaugural general or foundation meeting. elections for voting members of directors management, ceo, chair, secretary etc. Adopt rules. Any other business without notice.

12.01.2022 The first day of Autumn and things are progressing. Some requirements to register as a co-op are the need for 5 directors who would have a thorough understanding and knowledge of the constitution, a minority of which may be externally sourced. If you have an interest in this projects' prospects please consider going over the model constitution provided by co-ops WA and have an input to this at the ground level. https://www.commerce.wa.gov.au//model-rules-distributing-c A forward estimate for the first year trading is also required, market research is ongoing.

06.01.2022 It's ongoing incorporation tasks, rewrite the rules and fulfil the requirements for registration, but getting close.:). If you have a read, especially the model rules, leave a comment. What would you do if you could write your own rules for a business entity?... https://www.commerce.wa.gov.au//co-operative-form-02-appli https://www.commerce.wa.gov.au//model-rules-distributing-c

02.01.2022 What are the benefits and functions that this co-op can deliver and what sort of member will I be.. We will start with membership: A member is anyone who holds one share or more on the registry of the co-op, attends at least one meeting where voting takes place within a three-year timeframe and has an involvement in any co-op activity. Members can be Producers, Consumers, Workers or just hold shares and support the co-ops' financial position as Financial members.... How I see it working; Producers pool their produce together to create a more stable supply of mushrooms than any one Producer would be able to do on a small scale by themselves. The Worker members receive, sort, grade, pack or process the produce and market the produce to Consumer members [encouraged to join rather than being a 'general public' consumer] and also maintain the day to day functioning of internal logistics like organizing bulk supplies of inputs for the Producers to restock with at premium prices, keep machinery serviced and assist new Producers to become acclimatized and supplied with what they need to get started. The Worker members will also keep the books countersigned to keep track of business transactions so when the Co-op has enough finances its directors can issue dividends with percentages based on the amount of product supplied and inputs bought by the Producers. The amount of product purchased by an individual or business Consumer member. Hours worked by Worker members based on skill and pay level as determined by resolution at a vote and Financial members based on the number of shares held and for how long etc [no-one can hold more than 20% of the total stock]. The detail of the division of profits is always up for the members to discuss and change according to the rules. Debts come first though and directors have the call when to issue dividends, shares and debentures, pay what bills and when, to keep the show going and on the road. Agreements will be enacted between members and the co-op on joining as to the confidentiality of market and process information and sales agreements for Producers to sell their 'excess to personal need' produce into the co-op at prices determined by vote and not enter into sales or supply agreements outside the co-op structure to give the co-op every chance at success.
